Corporate Insolvency
Liquidation :

Liquidation is a process used when a company has reached the end of its life and is insolvent.

We act for creditors, liquidators and individuals. We advise and assist on various aspects of Compulsory Liquidation, Creditors or Members Voluntary Liquidation.

We advise on:

  • Antecedent transactions such as transactions at an undervalue , preference claims, unlawful dividend and excessive remuneration payments etc
  • Wrongful or fraudulent trading claims against former directors
  • Asset recovery for the benefit of creditors including book debt recovery
  • Business turnaround
  • Directors’ disqualification actions – for and against such actions
  • Directors’ duties and liabilities, including any proceedings against the directors under the Insolvency Act 1986 such as wrongful/fraudulent trading

 
Administration :

Administration is aimed at assisting Companies to turnaround with a view to initially realising the assets of the Company as a going concern. An administration creates some sort of moratorium from bailiff and landlord action whilst the administrator attempts to get the best outcome for the Company and its creditors.

We assist companies and office holders on obtaining Appointment of Administrators by way of application to Court and Out of Court appointments.

We assist on the following:

  • Drafting and negotiating terms of asset sale agreements
  • Advising on contractual disputes such as Retention of Title etc
  • Make applications to appoint an administrator if there is a winding up petition pending against a company
 
Receivership :

We advise on any aspects of Law of Property Act Receiverships and Receiverships resulting from pre 1 April 2004 debentures. We give advice on appointment of Receivers and any other issues in a Receivership.

 
CVA’s and Schemes of Arrangements :

We advise companies and supervisors on the terms of Company Voluntary Arrangements and schemes of arrangements between the companies and the creditors to include the rights and remedies of all parties affected by such procedures
